Cadere · Advisory

Advisory for owners, boards, and the decisions that carry weight.

We advise founders, owners, and boards, from startups raising a first round to listed companies in special situations. Engagements are fixed fee, scoped to your business, and the first conversation is free.

Areas of work

We are sector agnostic. The discipline is the same in every industry: understand the operating reality, find the constraint, and move it. Recent work spans mining and resources, healthcare and disability services, medical devices and biotech, agriculture and aquaculture, energy and carbon, property and construction, software and financial services, education, hospitality, and retail.

Strategic advisory

Positioning, focus, and capital allocation: where the business plays, what it stops doing, and what the next dollar funds.

Growth

Revenue design, pricing, channels, and the operating model that has to hold once they work.

Restructuring

For when the structure, the cost base, or the cap table no longer fits the business. We plan the change, sequence it, and stay while it lands.

Business development

Opening the doors that matter: customers, suppliers, licensors, and government. We make the introduction and stay for the negotiation.

Commercial

Contracts, tenders, and deal terms, worked through in plain language alongside the lawyers you already have or the ones we bring.

Special situations

Distress, disputes, succession, and windfalls. Situations without a playbook get first-principles work and senior attention.

Capital raising

Preparation, materials, structure, and introductions, from seed rounds to pre-IPO and listed-company placements, delivered with the licensed firms we work with.

Mergers and acquisitions (M&A)

Buy-side and sell-side: origination, due diligence, negotiation, and completion support.

Structuring

Corporate and group structures that fit your tax, regulatory, and succession position, designed with your accountants and lawyers.

The network behind the work

Much of what we deliver comes down to who we can put in a room. We maintain a working network across commerce, law, and technology spanning Australia, the United Kingdom, Europe, Asia, the Middle East, and Africa: directors of listed companies, senior counsel, corporate advisory firms, geologists and mining engineers, fund managers, and software teams. When an engagement needs capability we do not hold, we bring in a firm we have worked with before and tell you exactly who is doing what.

Approach

01

The first conversation is free

We use it to understand the business and say honestly whether we can help. If we are not the right fit, we will point you to who is.

02

Fixed fee, agreed up front

The fee is tailored to your business and the outcome you want, not to the hours we can log. You know the cost before we start.

03

Sized to the business

A four-person company and a listed company do not get the same engagement. Scope, cadence, and fee scale with the size of the business.

04

The right firms around the table

We work alongside your existing advisers, and where the work calls for licensed capital markets, legal, or accounting capability, we bring in firms we have worked with before.

05

A limited book

We take on a small number of engagements at a time so each one gets senior attention.

AI in the delivery of the work

AI is not a separate service line: it is how some of the work gets done. Where it earns its place, it makes an engagement faster and more thorough for the same fixed fee. Where it does not, we leave it out and say why.

Research and diligence at depth

Company filings, announcements, competitor moves, and market context, gathered and summarised with the same tooling that runs our own research products, so the first meeting starts from evidence rather than from questions.

Document and contract review

Long document sets read in a pass, with the material terms and the anomalies surfaced for a human to argue about. It shortens the loop with your lawyers; it does not replace them.

Models that can be re-run

Financial models and feasibilities built so assumptions can be changed and the whole thing re-run in front of you, instead of a static spreadsheet that ages the day it is delivered.

Monitoring after the work lands

For listed and pre-IPO clients, the same announcement and sentiment monitoring we run on our own products, so a change in the market reaches you before it reaches your inbox.

The judgement stays human

No recommendation, valuation, or board paper leaves here on a model’s say-so. A principal has read it, checked it, and will answer for it in the room.

Case studies

A sample of the principals’ work. Some engagements are anonymised at the client’s or counterparty’s request; the numbers are not.

Mining

Tier 1 gold portfolio, takeover to trade sale.

We took over a stalled gold portfolio in central Africa and have run it as principal since: board, government relationships, technical program, and now a sale process. The portfolio carries a 6.2Moz resource compliant with the Joint Ore Reserves Committee (JORC) code, with a core project of 3.2Moz at 6.68 g/t independently estimated in 2015. A previous owner, a tier 1 producer, spent more than US$500m and 200,000 metres of drilling on the ground before exiting into a US$900 gold price. We assembled a board and senior team spanning geostatistics, mining engineering, corporate finance, and law, drawn from tier 1 producers and ASX-listed companies, and negotiated milestone-based agreements with local and government counterparties that carry no upfront payments. A trade sale is in progress.

Transactions

Capital raising, from startups to listed companies.

We provide corporate advisory to startups, pre-IPO companies, and listed companies raising capital, covering commercial strategy, transaction preparation, and execution support. We originate and support transactions with advisory firms including Liquidity and NexFin Global, with recent deal flow across gold and critical minerals, silica, biotech, aquaculture, financial services, and software. Cadere is not a licensed financial services firm; regulated capital markets activity is carried out by the licensed firms we work with.

Technology

MVP to production for government, mining, and education.

Our technology work runs from advisory to hands-on delivery. We were a key contributor to a state government’s rapid antigen test distribution application, which put 65 million test kits into 2 million households, and the subject-matter lead on a whole-of-government payments portal that integrated two enterprise payment platforms and was approved for further development. We have led the migration of a major university’s web estate of more than 200 sites, built engineering software used daily by tier 1 miners, and shipped minimum viable products (MVPs) for startups in e-commerce and digital assets. We have advised companies across energy, finance, healthcare, and technology on systems, process, and delivery.

Property

Feasibility studies and an operating short-stay business.

We prepare development feasibilities and cash-flow models for property groups: acquisition, build cost, funding, and exit numbers that hold up in front of a lender. On the operating side, we set up a short-stay accommodation business across two five-bedroom, three-bathroom ocean front properties in Western Australia and took it to A$40k a month in revenue within the first two months of the engagement.

What clients say

They told us in the first call what they would not do, and then did everything they said they would. They rebuilt our deck and helped us establish an international go-to-market strategy that justified the valuation. We closed A$2,000,000 with 50K in revenue at the A$10 million pre-money valuation they set.

Founder, pre-IPO technology company

We handed over a business that had outgrown its structure. They restructured our systems in eight weeks, and our staff wished it had only happened sooner. They had taken part in the purchase of the business, and they systemised it so it was driven by our healthcare operations manager, growing from $1.2 million to $8 million per annum at 46% EBITDA.

Owner, healthcare services group

Working with Innocent has been incredibly valuable in helping me think more strategically about my business and its future direction. What sets him apart is the diversity of his experience and the perspective that brings. He doesn’t look at a business through a single lens; he draws on experience across different industries, disciplines and commercial environments to challenge your thinking, see opportunities from different angles and identify things you may not have considered.

He has helped me work through the commercialisation of new ideas, strengthen the foundations of my business for sustainable growth, and connect me with the right professional and international networks to support that growth. His ability to step back, consider the broader picture and then translate that into practical, actionable strategies is incredibly valuable.

I would highly recommend Innocent to any business owner looking for an advisor who brings a genuinely diverse perspective, challenges conventional thinking and understands that there is rarely one way to approach a business problem.

The fixed fee meant every conversation was about the outcome, not the clock. That is rarer than it should be.

Common questions

How is the fixed fee set?

We scope the engagement after the free consultation and quote a single figure based on the work, the outcome you want, and the size of your business. It is agreed in writing before we start and changes only if we both agree the scope has changed.

What does the free consultation cover?

A conversation about your business, the problem, and whether we can help. No deck, no obligation, and no fee. If we are not the right fit, we say so in that conversation and suggest where to go instead.

Who actually does the work?

A principal, with specialist capability contracted as needed. Where an engagement calls for it, we bring in firms we have worked with before, name them to you, and tell you exactly who is doing what.

Can you raise capital for us?

We prepare you for a raise: strategy, financial model, materials, data room, and board readiness. The regulated work of offering securities and closing investors is carried out by licensed firms we work with. We are direct about where that line sits in every engagement.

Do you ever invest in clients?

Sometimes the principals hold or take an interest in a business we work with. Where any such interest exists or arises, we disclose it before the engagement is agreed.

How long does an engagement run?

From a few weeks for a tightly scoped piece of work to several months for a transaction or restructure. The scope document states the expected duration.

Do you only work in Perth?

No. The work runs wherever the business is, and the network described above spans Australia, the United Kingdom, Europe, Asia, the Middle East, and Africa. Most engagements run remotely with travel as needed.

What do you not do?

We do not provide financial product advice, legal advice, tax agent services, or audit. Those go to the licensed professionals around the table, and we tell you plainly when a question belongs to them.
